GvW Graf von Westphalen again advises Legrand on an international acquisition in several jurisdictions

GvW Graf von Westphalen has again advised the French Legrand group on a complex cross-border transaction. With the recently completed share purchase agreement, the Legrand group in parallel acquired Fluxpower GmbH with its business seat in Germany and Primetech Srl with its business seat in Italy. The GvW team around Eric Messenzehl (partner, M&A) and Benjamin Schwarzfischer (senior associate, M&A) was in charge of coordinating an international team consisting of GvW lawyers and lawyers of Pirola Pennuto Zei & Associati.

Fluxpower GmbH and the Italian Primetech Srl are two medium-sized companies that were previously owned by the stock-listed AEG Power Solutions Group, a worldwide provider of electricity supply solutions and solutions for critical infrastructure. Both companies are specialized in products and services in the field of uninterruptable power supply systems (UPS).

Uninterruptable power supply systems are used to guarantee continued supply in the event of disturbances in the electricity grid. With the acquisition of Fluxpower GmbH and Primetech Srl, the Legrand group now extends its competence in this special field.

The Legrand group has more than 36,000 employees worldwide and generated a turnover of EUR 4.5 billion in 2014. The stocks of Legrand S.A., the holding company of the Legrand group, are traded at Euronext Paris.

GvW Graf von Westphalen regularly advises the Legrand group on international company acquisitions. Last year, for instance, GvW advised Legrand on the acquisition of IME Group.

On the current transaction, GvW’s team consisted of the following lawyers: Eric Messenzehl (lead lawyer, M&A), Benjamin Schwarzfischer (M&A), Christian Kusulis (Antitrust Law, IP), Jens Suhrbier (Energy Law), Anja Dombrowsky (Employment and Labor Law), Nicolas Wolski (Tax), Shari Kind (Real Estate) and Ming Yi (Corporate/M&A). A team of Pirola Pennuto Zei & Associati around the Milan-based partner Anne-Manuelle Gaillet was in charge of the Italian part of the transaction.
