Distribution Systems Law

GvW has been one of the leading law firms providing advice about sales law for decades.
The firm comprehensively advises companies, sales agents and trade associations from all industry sectors about all questions regarding national and international sales law, particularly in terms of laws applying to commercial agents, authorized dealers and franchises.

We assist companies especially with the organization of their sales systems, contract structures and legal disputes. We advise agents about contract structures and assist them in court proceedings.
We cover all relevant areas, including  antitrust law and and group exemptions for state aid, European law and employment (fictitious self-employment), public law (including the German Insurance Supervision Act) and fair competition law. One special focus of our work is insurance-agent law. When necessary, partners from our international networks are involved in providing advice.

Over the past few decades, we have won many precedent setting decisions regarding distribution, including capital investment, insurance, merchandise and mineral-oil sales. The members of our team are involved in associations of sales agents and entrepreneurs. As a result of their specialization, they serve in part as advisers to these associations.

The main point of contact is our Hamburg partner Dr. Raimond Emde. In the JUVE guide, he is recommended as an attorney for the area of “sales/retail/logistics and sales systems.”

Our areas of specialization:

  • Contract structuring
  • Negotiating
  • Litigation, including conflicts over compensation claims pursuant to § 89b of the German Commercial Code and “cross-border proceedings.”
  • Activities in arbitration proceedings, both as an arbitrator and as counsel to parties.
