TVSmiles GmbH has received EUR 5 million from the first round of financing for its mobile TV bonus program TVSmiles. In Germany, SevenOne Media, a branch of ProSiebenSat.1 Media AG, is acting as exclusive marketing partner of TVSmiles. GvW Graf von Westphalen provided advice to the financing round for the company which is part of the Berlin startup scene by involving various investors.
The free mobile app TVSmiles constitutes the link between TV commercial and smartphone/tablet. The TV spot is displayed on the viewer’s mobile device parallel to TV advertising. The viewer can then play games and collect points (“Smiles”) which are subsequently exchanged for prizes. Up to 100,000 players per day are already participating in this mobile TV bonus program.
Numerous investors were enthusiastic about this new concept of “Second-Screen Advertising”. The various parties involved were coordinated by the company and its advisors. Together with GvW as central legal advisor, the company produced a full set-up of the contracts and legal documentation which formed the basis for the participation of the different advisors. Thus, the company was able to attract a significant number of advisors and concluded an A-round which was rather remarkable for the German market.
GvW advised TVSmiles with Frankfurt-based partners Dr Markus Sachslehner (Corporate, M&A and Private Equity/Venture Capital) and Christian Kusulis (IP) as well as associates Benjamin Schwarzfischer and Dr Daniel Komo (both Corporate, M&A).
GvW Graf von Westphalen advised the transmission system operator 50Hertz on the award of a major contract for the North Sea Connector 2 offshore grid connection project. The project involves the planning, construction, installation and commissioning of a converter system comprising an offshore converter platform in the North Sea and an onshore converter station in Mecklenburg-Western Pomerania. The North Sea Connector 2 project is intended to connect offshore wind farms in the North Sea to the German electricity grid in future.
GvW Graf von Westphalen has advised Primepulse and Vsquared Ventures on the Series C financing round of NEURA Robotics GmbH. The transaction ranks among the largest venture financing rounds in the European startup ecosystem to date.
GvW Graf von Westphalen has advised Ethereal Space, Inc., a pioneering commercial space company, on space and satellite law matters and the establishment of its affiliate Ethereal Space GmbH.
