Mergers & Acquisitions: Dr Malte J. Hiort Receives Teaching Assignment at Heinrich-Heine-University Dusseldorf
In the summer semester 2017, Professor Christian Kersting, LL.M. (Yale) , professor for civil law as well as German and international corporate, commercial and antitrust law, will offer a seminar on the topic “Issues of Mergers & Acquisitions” at Heinrich-Heine-Universität Düsseldorf (HHU). Düsseldorf-based GvW lawyer and partner Dr Malte J. Hiort, who received the formal teaching assingment at the HHU yesterday, will contribute insights from legal practice and co-chair the seminar together with Professor Christian Kersting, LL.M. (Yale).
The seminar is based on a guest lecture by Dr Hiort on the topic “Mergers & Acquisitions (M&A) - An Introduction” in the context of the lecture “Corporate Law Specialization” of Professor Christian Kersting, LL.M. (Yale) in the summer semester 2016 and addresses undergraduates in their basic and core subject studies as well as doctoral candidates. In addition to permanent hot topics such as asset deal or share deal, reps and warranties in M&A, it also offers more specific M&A topics such as material adverse change clauses or transaction insurance, which will be presented and discussed in the course of the block seminar.
Dr Hiort is one of the founding partners of the firm’s Dusseldorf office. He has extensive experience in advising national and international corporate groups on corporate law as well as on complex, often multinational M&A transactions. As a member of the firm’s USA desk, Dr Hiort advises various Fortune 500 companies on their investments in Germany.

Federal Administrative Court: Fehmarn Belt Fixed Link may be built
The Federal Administrative Court has dismissed all six pending appeals against the planning decision on the Fehmarn Belt Fixed Link. Construction of the tunnel may therefore now also begin in Germany. Transport System Bögl: new local public passenger transport system a big success in China
The Max Bögl group of companies has developed a new local public passenger transport system. The system called “Transport System Bögl” (TSB) uses magnetic levitation, or “maglev” technology and provides a clean and cost-efficient means of transport for better mobility in inner city areas. The technology is becoming increasingly popular also in other countries: Max Bögl’s most recent export order was the sale of its TSB to China. The company’s plans include building a 3.5 km test track in Chengdu and extensive marketing activities to promote the technology in China – all through a sales partnership with a Chinese company.
