Graf von Westphalen advises Carlsberg Deutschland on the sale of the Feldschlösschen brewery in Dresden
After several months of negotiations with various bidders, Carlsberg Deutschland GmbH has sold the Dresden-based Feldschlösschen brewery to Frankfurter Brauhaus GmbH. The sale took effect on 1 January 2011.
For the future, the parties have also agreed on a broad cooperation with each other in Dresden with regard to bottling, logistics and distribution.
The "difficult and unpredictable state of the beer market and the related profit situation" were cited as the reasons for the sale of the over 150-year-old brewery. The board was particularly keen to ensure that jobs, as well as the location of the brewery, would not be affected by the deal. Carlsberg will now concentrate on its five core brands: Carlsberg, Holsten, Lübzer, Duckstein and Astra.
Dr. Dominik Ziegenhahn - partner at Graf von Westphalen - provided comprehensive advice throughout the process of sale, working in close cooperation with the head of Carlsberg Deutschland's legal department, Mr Matthias Restorff. He was assisted by employment lawyer and Graf von Westphalen partner, Dr. Malte Evers, as well as fellow corporate lawyer, Florian Puschmann - also of Graf von Westphalen. The accountancy firm, PricewaterhouseCoopers AG, provided the seller with tax advice in relation to the transaction.
The purchaser received legal advice from André Eggert of Eggers Malmendier. Graf von Westphalen has advised Carlsberg Deutschland GmbH in all legal matters since 2005, particularly in relation to corporate law, mergers and acquisitions, competition law, trademark law, employment law, food law and procedural law.

Federal Administrative Court: Fehmarn Belt Fixed Link may be built
The Federal Administrative Court has dismissed all six pending appeals against the planning decision on the Fehmarn Belt Fixed Link. Construction of the tunnel may therefore now also begin in Germany. Transport System Bögl: new local public passenger transport system a big success in China
The Max Bögl group of companies has developed a new local public passenger transport system. The system called “Transport System Bögl” (TSB) uses magnetic levitation, or “maglev” technology and provides a clean and cost-efficient means of transport for better mobility in inner city areas. The technology is becoming increasingly popular also in other countries: Max Bögl’s most recent export order was the sale of its TSB to China. The company’s plans include building a 3.5 km test track in Chengdu and extensive marketing activities to promote the technology in China – all through a sales partnership with a Chinese company.
