GvW Graf von Westphalen advises Concentric AB in the acquisition of LICOS Trucktec GmbH
NASDAQ OMX-listed Concentric AB has just acquired all shares in LICOS Trucktec GmbH.
Concentric is one of the world’s leading pump manufacturers, aiming at helping customers increasing fuel economy, reduce emissions and improve engine control through technical solutions and precision engineering. The acquisition of LICOS will broaden Concentric's product portfolio in the growing niche market of semi-variable water pumps, and it presents an opportunity to leverage Concentric's position in the U.S. for LICOS electromagnetic fan clutches. LICOS is a perfect strategic fit for Concentric since their controllable water pump complements Concentric’s own fully-variable technology, enabling Concentric to offer customers a full range of water pumps to meet every need. The company will also gain access to LICOS know-how in the field of electro-magnetic and friction clutch technologies. LICOS in turn will benefit from a growing range of opportunities within the successful and expanding Concentric family.
The seller and current managing director of LICOS, Dr. Andreas Wolf, will remain in the company and help integrate the business over the coming months.
GvW Graf von Westphalen advised Concentric AB in the transaction and the comprehensive due diligence exercise, particularly in the areas of corporate / contractual, employment and environmental law. For LICOS, being an engineering company, a major emphasis of the due diligence review lay on the important patent portfolio of the company.
The GvW team acting for Concentric consisted of: Florian Wolff (Frankfurt, lead), Dr. Marco Zessel (Frankfurt, Corporate, M&A), Karsten Kujath (Frankfurt, Employment), Dr. Bettina Schmitt-Rady (Frankfurt, Environmental), Christian Kusulis (Frankfurt, IP).

The Max Bögl group of companies has developed a new local public passenger transport system. The company’s plans include building a 3.5 km test track in Chengdu and extensive marketing activities to promote the technology in China – all through a sales partnership with a Chinese company.
