GvW advises Avacon Group on the sale of a biogas plant to a joint venture of Oxxynova GmbH and Lemke Holding GmbH
GvW Graf von Westphalen advised Avacon Natur GmbH and its wholly owned subsidiary Biogas Steyerberg GmbH on the sale of a biogas plant as part of an asset deal.
Land with a biogas plant including all assets as well as raw materials and supplies were sold. The transaction also included two combined heat and power plants with an output of 1.4 MW and 72 kW as well as a photovoltaic system with an output of 99 kW.
The indirect majority buyer is Oxxynova GmbH via one of its subsidiaries. Together with the local municipality, Oxxynova is pursuing the goal of developing the "Industrie- und Gewerbegebiet am Hasenberge" into an integrated, open multi-user "GreenTec Park Steyerberg".
Avacon is part of the E.ON Group, but also has a strong municipal character. As one of the largest regional energy supply companies in Germany, the Avacon Group implements the energy transition locally with its solutions in the areas of electricity, gas, water, heating, cooling, mobility and lighting.
GvW advised on the transaction with a team consisting of Dr Maximilian Emanuel Elspas (Energy Law), Dr Marco Zessel (M&A), Andrea Torka and Alina Sturm (both Real Estate Law).

Federal Administrative Court: Fehmarn Belt Fixed Link may be built
The Federal Administrative Court has dismissed all six pending appeals against the planning decision on the Fehmarn Belt Fixed Link. Construction of the tunnel may therefore now also begin in Germany. Transport System Bögl: new local public passenger transport system a big success in China
The Max Bögl group of companies has developed a new local public passenger transport system. The system called “Transport System Bögl” (TSB) uses magnetic levitation, or “maglev” technology and provides a clean and cost-efficient means of transport for better mobility in inner city areas. The technology is becoming increasingly popular also in other countries: Max Bögl’s most recent export order was the sale of its TSB to China. The company’s plans include building a 3.5 km test track in Chengdu and extensive marketing activities to promote the technology in China – all through a sales partnership with a Chinese company.
