GvW advises on sale of H-Hotels Group to HR Group
The HR Group in Berlin has acquired the H-Hotels Group, one of Germany's largest privately owned hotel companies, with effect from 25 February 2025. The transaction comprises more than 60 hotels in Germany, Austria, Switzerland, France, the Czech Republic and Hungary. GvW Graf von Westphalen provided comprehensive legal advice to GHG Global Hotel Group AG as seller of the H-Hotels Group in this corporate sale.
The H-Hotels Group, one of the largest privately owned hotel companies in Germany, includes renowned brands such as Hyperion Hotels, H4 Hotels, H2 Hotels, H+ Hotels, H.ostels and H.omes. The acquisition significantly expands the HR Group's portfolio by around one third and strengthens its position as one of the leading multi-brand hotel operators in Europe.
The HR Group plans to retain the H-Hotels brand, develop it further and exploit synergies in areas such as purchasing and sales. GvW's advice covered almost all legal aspects of the transaction, including the drafting and negotiation of the transaction documentation, the transfer of the licence agreements with Wyndham and the security documentation for the acquisition financing.
At the same time, GvW coordinated the local law firms engaged on behalf of the client in the various jurisdictions. GvW has been advising the H-Hotels Group on its activities in Germany for around 10 years. Federal Administrative Court: Fehmarn Belt Fixed Link may be built
The Federal Administrative Court has dismissed all six pending appeals against the planning decision on the Fehmarn Belt Fixed Link. Construction of the tunnel may therefore now also begin in Germany. Transport System Bögl: new local public passenger transport system a big success in China
The Max Bögl group of companies has developed a new local public passenger transport system. The system called “Transport System Bögl” (TSB) uses magnetic levitation, or “maglev” technology and provides a clean and cost-efficient means of transport for better mobility in inner city areas. The technology is becoming increasingly popular also in other countries: Max Bögl’s most recent export order was the sale of its TSB to China. The company’s plans include building a 3.5 km test track in Chengdu and extensive marketing activities to promote the technology in China – all through a sales partnership with a Chinese company.
