GvW Advises One Stop Systems on the Sale of BRESSNER Technology
GvW Graf von Westphalen advised One Stop Systems Inc. on the sale of BRESSNER Technology GmbH to the international corporate group HIPER Global Ltd.
One Stop Systems Inc. is a U.S.-based provider of specialized high-performance computing solutions for demanding industrial applications. The company is particularly active in the areas of embedded systems, edge computing, and ruggedized hardware, serving customers worldwide.
BRESSNER Technology GmbH, headquartered in Puchheim near Munich, is a system integrator and value-added distributor of industrial IT and embedded hardware solutions. Its portfolio includes, among other things, industrial and embedded PCs, edge AI platforms, and customized system solutions.
Through the acquisition of BRESSNER, HIPER Global Ltd. strengthens its presence in the European market as a provider of tailored hardware solutions for technology and industrial companies. Its service portfolio ranges from design and engineering services to turnkey manufacturing, global logistics, and support.
GvW advised One Stop Systems Inc. on German law aspects of the transaction with a team consisting of Benjamin Schwarzfischer (lead), Jan Hüniken and Silvan Samaan (all Corporate/M&A), Bettina Mertgen and Christopher Blank (both Foreign Trade Law), Dr. Michael Engel (Tax), Hans Helwig, Karsten Kujath (both Employment), Sebastian Faust (Antitrust), and Irmela Dölle (IT/Data Protection). The U.S. part of the transaction was handled by Procopio, Cory, Hargreaves & Savitch from GvW’s Meritas partner network.

Federal Administrative Court: Fehmarn Belt Fixed Link may be built
The Federal Administrative Court has dismissed all six pending appeals against the planning decision on the Fehmarn Belt Fixed Link. Construction of the tunnel may therefore now also begin in Germany. Transport System Bögl: new local public passenger transport system a big success in China
The Max Bögl group of companies has developed a new local public passenger transport system. The system called “Transport System Bögl” (TSB) uses magnetic levitation, or “maglev” technology and provides a clean and cost-efficient means of transport for better mobility in inner city areas. The technology is becoming increasingly popular also in other countries: Max Bögl’s most recent export order was the sale of its TSB to China. The company’s plans include building a 3.5 km test track in Chengdu and extensive marketing activities to promote the technology in China – all through a sales partnership with a Chinese company.
